Mrs. Sabah Rahman Shelton is a co-Founder of Noksha Capital and her extensive legal background provides a significant complementary skillset to NCAP’s investment leadership team.

Mrs. Shelton is a senior lawyer with nearly 2 decades of experience in cross-border debt financing transactions, including securitisations and non-performing loans. She has advised clients on LIBOR transitions on RMBS deals and has worked on a range of capital markets and structured finance deals, acting for borrowers, issuers, arrangers, servicers and trustees. Her responsibilities have included drafting and negotiating offering memoranda, subscription agreements, trust deeds, facility agreements, servicing agreements and English and foreign law legal opinions.

Her notable transaction experience includes:

Structured Finance

  • Advised issuers on LIBOR transition on RMBS deals through consent solicitations
  • Advised an alternative financial institution on setting up a $500million securitization program to invest in Sharia compliant assets
  • Advised a fintech company on setting up a $20billion trade receivables securitization program
  • Advised a global bank on a collateral swap transaction involving a portfolio of aviation loans and a major bank based in the United Arab Emirates

Restructuring

  • Advised an asset management fund on the restructuring of a portfolio of non-performing real-estate loans, ranging in value from €500million to €245million
  • Advised the issuer, Eurosail-UK 2007-6NC PLC, in the restructuring of approximately £351million RMBS arranged by Lehman Brothers

Mrs. Shelton completed her LLM at the College of Law in London, United Kingdom and her B.A. in Political Science, Philosophy and Economics at the University of Pennsylvania.
